Grant Thornton Vietnam is pleased to introduce our Newsletter for October 2026 on enhanced scrutiny of beneficial ownership information. Enterprises should promptly review their ownership structures, actual control arrangements, and declaration status to mitigate the risks of non-compliance and potential administrative penalties.

Key highlights include:

  • Official Letter No. 3164/DNTN-GS requesting stronger review of beneficial ownership declarations, prioritizing more than 42,000 enterprises that have yet to declare.
  • Criteria for identifying beneficial owners under Decree No. 168/2025/ND-CP, as amended by Decree No. 296/2026/ND-CP: ownership of 25% or more, actual control, and fallback criteria.
  • Declaration using Form No. 10 and Form No. 12 (Circular No. 121/2026/TT-BTC); changes must be notified within 10 days of the date of the change.
  • Recommendation to review the entire ownership structure to the ultimate individual owners; administrative fines of VND 50 million to VND 100 million under Decree No. 288/2026/ND-CP.
